1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Taiyuan Zhiyouxiang Technology Co., Ltd. ("Company," "we," "us," or "our") concerning your access to and use of the www.zhiyxtech.top website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

5. Prohibited Activities

6. Payment Terms

All fees for services are outlined in the applicable service agreement or statement of work. Payment terms include:

  • Invoices are payable within the timeframe specified in the service agreement
  • Late payments may incur interest charges as permitted by law
  • We reserve the right to suspend services for non-payment
  • All fees are exclusive of taxes, which are the client's responsibility

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement.

8. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or services, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or related to these Terms of Service or the services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

10. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Site. We reserve the right to deny access to the Site to anyone for any reason at any time.

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service.

11. Modifications

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms of Service shall be resolved through good faith negotiations. If the parties cannot resolve the dispute through negotiation, the dispute shall be submitted to arbitration in Taiyuan, Shanxi Province, in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission.

14. Severability

If any provision of these Terms of Service is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with any service agreements or statements of work, constitute the entire agreement between you and Taiyuan Zhiyouxiang Technology Co., Ltd. regarding the use of the Site and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
